| All Design specific information is provided to Scopial by the designers/creators who are solely responsible for its content and accuracy. Scopial will not be responsible for
typographical or other errors or omissions regarding prices or other information. |

| All sales are subject to Scopials Standard Sales Terms and Conditions, unless as otherwise stated on the respective Scopial sales site under which you choose to conduct
business with Scopial. Promotional offers and prices are for a limited time or as specified. |

| Design prices and website configuration are subject to change without prior notice. Stock position and published resale pricing are updated daily. Inventory availability, published resale pricing, and manufacturer quoted lead-times are subject to rapid change. If you are conducting this session on a public computer or are otherwise using a computer to which multiple people have potential access, be sure to follow all relevant instructions to ensure you are sufficiently disconnected and logged off this site and the computer system you are using so as to prevent unauthorized access to your account with Scopial. |

| All submitted designs (and any modifications or changes thereof) are limited to a maximum of eight (8) colors including the color of the shirt. Shirt color for all printed designs is solely limited to the color offering currently available on Scopial and is subject to change at any time (without prior notice) according to availability. |

| Scopial reserves the right to make necessary minor adjustments or changes to submitted designs in order to conform artwork to manufacturing requirements. Scopial also reserves the right to make any other final decisions pertaining to a design's ink colors, sizing, placement, or embroidery. By agreeing to such terms, you grant to Scopial a worldwide, exclusive, irrevocable, royalty free License to have manufactured, sell, use, commercialize, modify, re-design, alter, sub-license the designs submitted. |

| By submitting Designs at Scopial, you agree to assign all copyright associated with your design in favor of Scopial. By submitting any word, combination of words, symbol, slogan, photographic image, graphic design or any other type of design (collectively referred to as “the Design”) for consideration in the contest of Designs at Scopial (the "Contest"), you represent and warrant to Scopial that the Design is original and free and clear of any impediment and is not subject to any third-party agreements or arrangements that would interfere with their use by Scopial in any manner whatsoever; that the Design is not slanderous, obscene, lifted and does not plagiarize; and that the exercise of rights herein granted will not infringe upon any copyright, right of privacy or any other rights, including but not limited to Intellectual Property Rights, whatsoever of any third party. You shall indemnify and hold Scopial harmless and shall cover Scopial for all costs and expenses (including any fee's spent by Scopial) in the event of a breach of any of the foregoing warranties or representations, or the terms of Service as contained herein and as modified from time to time at the sole discretion of Scopial. These warranties and representations do not extend to any material not provided by you. |

| You acknowledge that Scopial reserves the right to Turn down a Design for consideration for any reason whatsoever, including poor design, as further explained in the "Turn down reason" page of the Scopial website, which are subject to change at any time. |

| If your Design is selected, you shall not use the Design (or derivatives of the Design) or allow others to use the Design (or derivatives of the Design) on any Items or products unless expressly authorized by Scopial in priority and in writing. In addition, by submitting your Design to Scopial, you may not reproduce, sell, or submit the Design to others for any commercial purpose for ninety (90) days after the date of submission. Post submission and upon the expiry of the ninety (90) day period is over, if your Design is not chosen for print by Scopial, you are free to use the Design for any commercial or non-commercial purpose. However if your design is used elsewhere, for any purpose whatsoever, you must notify Scopial by e-mail at the e-mail address artwork@scopial.com so that it can be removed from Scopial website. In addition, if the Design is used or reproduced for commercial purposes elsewhere, you cannot use the Scopial blogs to promote the Design or the company using the Design and all rights to use the Scopial blog shall stand immediately terminated and revoked. You further agree not to use the Scopial blogs to promote the products and services of any company that operates in competition with Scopial. Scopial reserves the right to choose your design after the ninety (90) days have expired, on the condition that the design has not been used for commercial purposes (by any third party) on any Items, as described herein. |

| Scopial can use any design submitted on Scopial.com for any type of marketing, branding or commercialisation purpose without informing you in advance. Without limiting other remedies available to it, Scopial may at its sole discretion remove any Design from publication and/or dissemination if it thinks that the Design is creating problems, possible legal liabilities, or is inconsistent with the letter or spirit of Scopial’s internal policies, including but not limited to poor design. |

| If your design is selected for use by Scopial, you will receive INR 20,000 cash. The prize is given away as-is with no implied or stated warranties. All prize decisions are final.
Additionally, you will receive INR 5000 cash each time your Design is reprinted. Scopial reserves the right to change these payment terms at any time, by posting them on the Scopial website and changes will be immediately effective upon posting. Payment will be based on the terms in effect when your Design is selected. You alone will be responsible for the payment of any applicable tax that arises as a result of receiving payment from Scopial. Payment will be sent within ninety (90) days after Scopial receives hi-resolution artwork deemed suitable for print. If the hi-resolution artwork is not deemed suitable for print as determined by Scopial, Scopial will notify you of the reason(s) for the same by e-mail and will be willing to assist you in presenting a suitable hi-resolution format. However, if you fail to produce the hi-resolution format (even after our good-faith efforts), Scopial holds all rights to annul your award and reject your Design at its sole discretion. |

| Participants, who in the sole opinion of Scopial, do not comply with these Design Submission Legal Terms and Conditions, or for any other reason, can at any time be excluded from consideration without prior notice. |

| The copyright in all original material provided on this website is held by Scopial, and/or by the original creator of the material. Except as stated below, none of the material may be reproduced, distributed, republished, downloaded, displayed, posted, transmitted or copied in any form or by any means, without the prior written permission of Scopial, and/or the copyright owner. Permission is granted to display, copy, distribute and download the materials on this site solely for personal, non-commercial use provided that you make no modifications to the materials and that all copyright and other proprietary notices contained in the materials are retained. You also may not, without Scopial's written permission, "mirror" any material contained on this Site or any other server. |

| Any permission granted herein terminates automatically without further notice if you breach any of the above terms. Upon such termination, you agree to immediately destroy any downloaded and/or printed materials.
